Terms of Service
Effective date: October 19, 2026
1. Agreement to these terms
These Terms of Service ("Terms") govern your use of the website at logosfi.com (the "Site"). The Site is operated by LOGOSFI, INC., a Delaware corporation with its principal office at 12 E 49th St, New York, NY 10017 ("Logos", "we", "our" or "us").
By accessing or using the Site you agree to these Terms. If you use the Site for a company or institution, you confirm that you have authority to bind it, and these Terms apply to it. If you do not agree, do not use the Site.
2. What the Site is
The Site presents Logos and its work on the evidence layer for acceptance of tokenized assets and stablecoins. It is provided for general information.
The Site is not an offer to sell or a solicitation of an offer to buy any security, token, digital or other asset or financial product, and it is not an offer of any service to you. It is not investment, legal, tax, accounting, regulatory or financial advice, and nothing on the Site is a recommendation or an invitation or inducement to engage in investment activity.
Logos does not rate assets, does not approve or reject assets for any institution, and does not decide eligibility. Each institution keeps control of its own decisions. Nothing on the Site replaces your own assessment or the advice of your own advisers.
Logos is not acting as a broker, dealer, investment adviser, credit rating agency, custodian or exchange, and the Site does not describe any regulated activity carried on by Logos. The Site is intended only for regulated financial institutions and other professional or institutional parties. It is not directed at retail investors or at any person in a jurisdiction where its publication or availability would be unlawful or would require Logos to obtain any registration, licence or authorization. In the United Kingdom, the Site is directed only at investment professionals and persons to whom it may otherwise lawfully be communicated, and in the European Economic Area only at professional clients and eligible counterparties.
3. Who may use the Site
The Site is intended for business and professional visitors who are at least 18 years old. It is not directed at consumers.
4. Enquiries and design partnership discussions
When you send an enquiry through the Site, including a request to discuss a design partnership, you ask us to contact you. Sending an enquiry does not create a contract, a partnership, a client relationship, an exclusivity right or any obligation on either side.
Any pilot, design partnership, product access or other service will be governed only by a separate written agreement signed by Logos and the relevant institution. If anything on the Site conflicts with that agreement, the agreement prevails.
Please do not submit confidential, proprietary or regulated information, including customer or client data, non-public information about any institution, issuer or asset, or personal data about other people, through the contact form or in early correspondence. Limit enquiries to business contact details and a short description of your interest. We will treat what you send with reasonable care, but information submitted through the Site is not received in confidence and creates no confidentiality obligation unless and until Logos and you or your institution sign a written confidentiality agreement.
5. Acceptable use
You agree not to:
use the Site in breach of any applicable law or regulation;
try to gain unauthorized access to the Site, its hosting or any connected system;
introduce malware or anything that could damage, disable or overload the Site;
scrape, copy or harvest content or data from the Site by automated means, except for ordinary search engine indexing;
submit false, misleading or fraudulent information in any form;
use the Site to send unsolicited commercial messages; or
present yourself as connected to Logos in a way that is not true.
We may block access or take other steps if we reasonably believe these rules have been broken.
6. Intellectual property
The Site and its content, including text, design, graphics, logos, names, product descriptions and the Logos name and marks, are owned by Logos or its licensors and are protected by intellectual property laws. Nothing in these Terms transfers any right to you.
You may view the Site and print or share a reasonable number of pages for your own internal business use, provided you keep all notices and do not change the content. Any other use needs our written permission.
Third-party names and logos shown on the Site, including those of investors or partners, belong to their owners. Their display does not imply endorsement of Logos beyond the relationship described.
7. Your submissions and feedback
You keep ownership of what you send us. You give Logos a non-exclusive, worldwide, royalty-free license to use what you send through the Site to respond to you and to run and improve our business. This license does not allow us to publish what you send us or to disclose it to third parties other than as described in our Privacy Policy.
If you give us feedback or ideas about Logos or its products, we may use them without restriction or payment to you.
8. Third-party links and services
The Site may link to websites or services run by others. We do not control them, and we are not responsible for their content, security or privacy practices. A link is not an endorsement.
9. Accuracy and forward-looking statements
We work to keep the Site accurate, but we do not guarantee that it is complete, current or free of errors. Descriptions of products, features, timelines and plans reflect our intentions at the date shown. They may change. Features described as planned or in development may not be released, or may be released in a different form.
Statements about the future on the Site are not promises. Do not rely on them when making any decision.
10. Disclaimer of warranties
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LOGOS DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICUL
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LOGOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD 100). NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY FOR FRAUD, GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

13. Suspension and termination
We may suspend or end your access to the Site at any time, with or without notice, if we believe you have breached these Terms or if the law requires it. Sections 6, 7, 9, 10, 11, 12 and 14 continue to apply after your access ends.
14. Governing law and disputes
These Terms and any dispute arising from or related to them or the Site are governed by the laws of the State of New York, United States, without regard to its conflict of law rules. Subject to the next paragraph, the state and federal courts located in New York County, New York have exclusive jurisdiction over any such dispute, and each party submits to their jurisdiction and venue. To the fullest extent permitted by law, each party waives any right to a jury trial, and any dispute will be brought only on an individual basis and not as a plaintiff or class member in any class, collective or representative proceeding.
Before starting a formal claim, each side will try in good faith to resolve the matter by contacting the other for at least 30 days.
If you access the Site from outside the United States, you do so on your own initiative and are responsible for complying with your local laws. Nothing in these Terms deprives you of any mandatory protection under the law of the country where you are located or reside that cannot be excluded by agreement, and nothing prevents Logos from seeking urgent injunctive relief in any competent court.
15. Changes to these terms
We may update these Terms from time to time. The updated version will be posted on the Site with a new effective date at the top and applies from that date. If we make a material change, we will give reasonable notice on the Site before it takes effect. Changes will not apply to any dispute that arose before the change was posted. Your continued use of the Site after the effective date means you accept the updated Terms.
16. General
Entire agreement. These Terms, with our Privacy Policy and Cookie Policy, are the whole agreement between you and Logos about the Site.
Severability. If a part of these Terms is found unenforceable, the rest stays in force.
No waiver. If we do not enforce a right, we do not give it up.
Assignment. You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, financing or sale of assets.
